The Delhi High Court has held that advocate-client privilege cannot operate as an absolute bar against an investigation into the conduct of the lawyer where the investigating authorities place prima facie material indicating that such an individual may have acted beyond the role of a legal adviser and may have been involved in the affairs under investigation.
“There can be no dispute that communications and material protected by advocate-client privilege are entitled to the protection recognised in law. However, such privilege cannot operate as an absolute bar against an investigation into the conduct of the Advocate himself, where the Respondents have placed prima facie material indicating that the Petitioner may have acted beyond the role of a legal adviser and may have been involved in the affairs under investigation,” a Division Bench comprising Justice Anil Khetarpal and Justice Shail Jain held.
The Court made the observations while dismissing a plea filed by advocate Puneet Batra challenging a search conducted by the GST Department at the premises of his law firm- Bass Legal LLP, including his cabin. In the process, the authorities seized his CPU and documents.
While the Court refused to interfere with the search or seizure made, it clarified that the protection accorded to confidential advocate-client communications remains an important safeguard. It also said that its ruling does not permit unrestricted searches of advocates' premises.
“Nothing contained in this judgment shall, therefore, be understood as permitting an unrestricted search of an Advocate's premises or as diluting the protection available to genuinely privileged communications and confidential client material in accordance with law,” the Court said.
It added that the conclusion reached in the case was confined to the peculiar facts and circumstances where the authorities placed material indicating that the lawyer's own role and conduct formed part of the subject matter of investigation.
The Bench held that the search of Bass Legal, including Batra's cabin, was carried out pursuant to a valid authorisation under Section 67(2) of the CGST Act, and could not be held unauthorised merely because he was an advocate.
It was Batra's case that the computer could contain privileged and confidential communications concerning his clients, including Martkarma Technology Pvt. Ltd. (MTPL), a gaming company for which he had provided professional and legal services.
On the other hand, the GST Department, claimed that Batra was not merely acting as MTPL's advocate but was actively involved in running its affairs. The Department also relied upon statements recorded during the investigation and other material to substantiate its claim.
Dismissing the plea, the Court noted that the material placed before it was being considered only for determining whether there was a basis for proceeding with the investigation and not for establishing the lawyer's guilt or liability.
While upholding the search, the Court directed that the GST authorities, for further investigation, shall make use of the cloned copy of the data prepared pursuant to the earlier orders passed by the Court.
It said that the authorities shall confine the examination of such data to the material relevant to the investigation and shall not open, access or examine the data of any other client of Batra which is unrelated to the affairs of MTPL.
“The Respondents shall accordingly ensure that the confidentiality of the information and documents pertaining to such other clients is not compromised. This direction shall, however, not preclude the Respondents from seeking appropriate orders of this Court in accordance with law, should any specific material pertaining to any other client become relevant to the investigation,” the Court said.
